AFFILIATE LINK TERMS AND CONDITONS

1. In consideration of your fulfilment of your obligations pursuant to this licence agreement, Yell Limited ("Yell") grants you a non-exclusive, non-transferable limited licence ("Licence"), to use the Yell.com affiliate link logo ("Link") as a hypertext link from your website to Yell's website which is currently located at www.yell.com ("Website"). No other rights are granted to you and you will not acquire any additional rights or interest in the Link as a result of this Licence. Upon your completion of the Link registration process on the Website, Yell will send to the email address that you provide during registration (if it is valid and active)("Prime Address") an HTML file ("Link File") which, when activiated, will install the Link on your website. It is a condition of this Licence that you must notify Yell if you change or replace any of the details of the Prime Address. Such notice must be sent to affiliatelinks@yellgroup.com as soon as is reasonably practicable. This Licence will commence when you first download the Link File to activate the Link for use on your website and will continue until such time as this Licence is terminated in accordance with clause 11 below.

2. The Link must not be displayed on your website in a manner that implies to users of the website that Yell endorses, sponsors, or otherwise ratifies the products, services or information provided on that website other than in accordance with the terms of this Licence. You must not use any device, logo or wording (other than the Link) on your website as a link to the Website. You must ensure that there is a minimum spacing of 30 pixels between each side of the Link and any other graphic or text on your website.

3. You must not alter, amend, modify or adapt the Link in any manner including size, proportions, colours, elements, etc. The Link must not be animated, morphed or otherwise distorted in its appearance.

4. You will ensure that your website will not at any time during the term contain material that is defamatory; offensive; obscene; racist; contains adult content; breaches any person's rights; is otherwise objectionable, or contrary to applicable law. The Link may only be used on a website that is primarily focused at UK users.

5. Except where permitted under this Licence you must not use Yell's trademarks, logos, business names or other brand features on your website without the prior written consent of Yell. You acknowledge that all intellectual property rights in the Link and Website are owned by Yell or its licensors. All goodwill arising through the use by you of the Link vests in Yell.

6. You will not at any time during the term display, advertise or permit to be displayed or advertised on your website, any website or any link to any website advertising, sponsorship content or any other material which could, in Yell's opinion, bring Yell into disrepute. You agree to remove any such website or link or reference thereto from the your website on the earlier of either you becoming aware of any such display or advertisement or the receipt of a request to do so from Yell.

7. You will not act or omit to act in any way or make any representation or offer any undertaking whatsoever which may indicate that you have or will at any time have any right, title or interest in the Link except under the terms of this Licence.

8. Yell reserves the right, without notice, to suspend, disable or otherwise make unavailable the Link (together with any and all content made available to users by means of that Link) should Yell in its sole discretion suspect that you or users of your website are or threaten to: (1) undertake unlawful extraction and/or reutilisation of the business listings or any other content made available on the Website: (2) engage in activities that are in breach of the Database Regulations 1997, the Website Conditions of Use, or this Licence; or (3) undertake activities using the Link that are otherwise objectionable. You agree to provide Yell with reasonable cooperation to assist with its investigation of such activities.

9. You must make available the Link only on the URL that you have registered during Link registration. If you have other websites (for example group company websites) on which you wish to present the Link then each company website must register separately with Yell to display the Link. If you propose to change your internet domain name please contact Yell at affiliatelinks@yellgroup.com with details of the proposed name change.

10. You must only use the most current version of the Link as directed by Yell from time to time. You acknowledge and agree that Yell reserves the right to change, without notice, the appearance of the Link including, without limitation, its branding, shape, content and look and feel. ("Amendment"). If an Amendment could increase or decrease the size of the presented Link on your website then Yell reserves the right, at its sole discretion, to send notification to your Prime Address of the same. Such notification will enable you to select a replacement sizing of the Link from a menu of options. These terms apply to all and any replacement Links that you download from Yell.

11. You may terminate this Licence by removing the Link from your website. Your removal of a Link for the purposes of amending or upgrading the Link is not deemed an act of termination, unless otherwise agreed by the parties in writing. Without prejudice to its other rights and obligations Yell reserves the right, in its sole discretion to terminate this Licence (in whole or in part) immediately by notice to your Prime Address. Termination of this Licence shall not affect any accrued rights or liabilities of either party, nor shall it affect the coming into force or the continuance in force of any provision of this Licence which is expressly or by implication intended to come into force or continue in force on or after termination.

12. Upon expiry of this Licence or its termination for any reason: (1) you will remove the Link and all other material referring to the Website from your website within 24 hours of termination and certify in writing to Yell within 48 hours following termination that such obligation has been complied with in full; and (2) all licences granted under this Licence shall terminate immediately. An email sent to the address affiliatelinks@yellgroup.com confirming that the obligations contained in point (1) above have been complied with will be deemed sufficient notice for the purpose of this clause 12.

13. The Link provided in connection with this Licence is provided on an "as is" and "as available" basis and you acknowledge that the Website and/or the Link may be unavailable to users during periods of maintenance, upgrades and technical failures. Except as otherwise provided in this Licence Yell excludes all representations (but not fraudulent misrepresentations) warranties, conditions and all other terms of any kind, either expressed or implied, by statute or otherwise, including but not limited to warranties of satisfactory quality, fitness for a particular purpose or reasonable skill and care. This Licence is not intended to express or imply any representation, warranty, condition or other term that the Link or the Website will be uninterrupted, timely or error-free or that the Link will provide uninterrupted, timely or error free service. You acknowledge and agree that any material and/or data downloaded or otherwise obtained through the use of the Link, is done at your own risk and that you will be solely responsible for any damage caused to your computer system or loss of data that results from the download of such material and/or data.

14. Neither Yell nor its subsidiaries, affiliates, officers, directors, shareholders, employees and agents will be liable, under any circumstances, for any loss of business, profits or goodwill, loss of use or availability of your website, loss of data, interruption of business, or for any indirect, special, incidental or consequential damages of any character, even if that party is aware of the risk of such damages. Yell does not limit its liability to you for losses arising from death or injury resulting from its own negligence or the negligence of its employees, agents or subcontractors.

15. You undertake to indemnify Yell and to keep Yell fully indemnified on demand against all actions, threats, proceedings, liabilities, losses, damage, costs (including legal costs) and expenses whatsoever which may be made against or incurred by Yell arising out of or in connection with any use by you of the Link or any brand feature of Yell which has not been previously been agreed in writing with Yell.

16. By downloading the Link, you consent to Yell and its agents processing and storing your registration data (including your website URL and Prime Address information) together with other Link usage data for: (1) statistical, research and servicing purposes; and (2) to send you selected marketing information on Yell products and services.

17. This Licence does not create any rights which, under the Contracts (Rights of Third Parties) Act 1999, are enforceable by any person who is not a party to it (save for members of the Yell Group Plc.) and no person who is not a party to this Licence may enforce any of its terms or rely on any exclusion or limitation contained in it. Yell acts in its own name, on its own behalf and for the benefits of all other members of the Yell Group plc.

18. This Licence is governed by and interpreted in accordance with English law and the courts of England shall have exclusive jurisdiction.
